Criteria to Apply for Labuan Company Management Business License

The eligibility to apply is simple as long as the applicant can prove that he/ she has:

  1.  An existing firm engaging in company management activities licensed by the regulatory authority in the country of origin; or
  2. The necessary profile of personnel to carry out this business through the set up of a Labuan Company. Personnel should be able to provide documented proof that he/she holds a relevant degree or professional qualification that reflects treasury related experiences.


In addition, the application is to be accompanied by:

  1. A business plan covering the business intentions, types of services to be offered, target market, three (3) years’ revenue projections and manpower, including the equity structure of the company in regard to the percentage of shareholding;
  2. A set of proper internal policies and controls to mitigate the different business profiles or risks;
  3. Resume of all key personnel with education certificates to show competency and related and transferrable experience;
  4. Reference letters and no adverse report for key personnel as proof of fit and proper person;
  5. Personal financial statement with the ability to demonstrate the existence of adequate financial resources and the continuing financial support for the business; and
  6. Must have at least two (2) directors in the Company.


Subject to the merit of each application, additional information and documents may be requested by Labuan FSA to facilitate the processing of the application.

Operational Requirements of a Labuan Company Management Business License

  1. Maintain a minimum paid-up capital, unimpaired by losses, of at least RM 100,000, or its equivalent in any foreign currency, throughout its operations. Labuan FSA may exercise its discretion for a higher capital depending on the risks, nature, scale, complexity and diversity of the activities that will be conducted through the license.
  2. Place a RM 100,000, or its equivalent in foreign currency, non-interest bearing security deposit with Labuan FSA.
  3. Comply with substantial activity requirements to enjoy the preferential tax treatment of 3% on net audited profits by hiring at least two (2) full-time employees in Labuan and meet a minimum annual expenditure of RM 100,000 in Labuan. You may also establish a marketing office in Kuala Lumpur or Iskandar Johor with approval from Labuan FSA.
  4. Establish adequate internal policies and procedures for its operations, compliance, internal controls, corporate governance, and risk management, including its business continuity plan. These have to be regularly reviewed to ensure that they remain appropriate, relevant and prudent.
  5. Ensure that the persons in control, directors and officers meet the fit and proper person requirements. Employees employed must be competent and possess sound knowledge of the services to be offered.
  6. Maintain adequate and proper records and books of accounts in Labuan. Its name, license number must be clearly indicated on its letterhead, stationery and other documents.
  7. Appoint an approved auditor to carry out an audit of its accounts in respect of the business operations. The audited report is to be submitted within six (6) months after the closure of the financial year
  8. Obtain prior approval from Labuan FSA on changes to business plan, shareholding ownership, board of directors and principal officer, paid-up capital, use of external provider, and corporate name.
  9. Notify Labuan FSA in writing of any amendment or alteration within fourteen (14) days to its constituent documents, place of business or office in Labuan or outside Labuan, resignation of director(s) and principal officer(s) and significant events that affects its going concern or reputation.
  10. Comply with relevant applicable laws, rules and regulations to the Labuan company management business, including guidelines issued by Labuan FSA and by the requirements of the other jurisdictions in which the company is authorized to operate in as well as the Malaysian Foreign Exchange Administration rules (where applicable), at all times. Labuan company management business is responsible to attain the necessary approvals from authorities in the markets it intends to operate prior to commencing its business therein.
  11. Establish proper compliance function to ensure its business complies with the relevant directive, guidelines and reporting requirements issued by Labuan FSA from time to time.
  12. Ensure compliance with the Anti-Money Laundering and Anti-Terrorism Financing Act 2001 and Guidelines on Anti-Money Laundering and Counter Financing of Terrorism relevant to Labuan IBFC.
  13. Comply with any other operational requirements as may be imposed by Labuan FSA from time to time.

Fees for Labuan Company Management Business License Payable to Labuan FSA

The annual license fee of USD 1,500 is payable upon approval and will cover the period up to 31st December. For subsequent years, the annual fee is to be paid on or before 15 January of each calendar year.

Marketing Office annual fee of USD 2,500 is payable upon approval and will be valid until 31st December. For subsequent years, the annual fee is to be paid on or before 15 January of each calendar year.

Application Timeframe for Labuan Company Management Business License

45 to 60 days for approval processing by Labuan FSA. Time frame may be longer if the authority requests for additional supporting documents or clarifications.

Key personnel may be required by the Labuan FSA to attend interviews.
